Terms of Service

1. Acceptance of Terms

By accessing or using the Sitenyx platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Definitions

"Platform" refers to the Sitenyx website builder application, APIs, and related services. "User" refers to any individual or entity that accesses or uses the Platform. "User Content" refers to any content, data, text, images, or other materials you upload, create, or display through the Platform. "Generated Website" refers to any website created using the Sitenyx AI-powered website builder.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete information during registration, keep your account credentials secure, notify us immediately of any unauthorized access, and accept responsibility for all activities under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. License Grant

Subject to these Terms and payment of applicable fees, Sitenyx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for creating and managing websites. This license does not include the right to sublicense, resell, or redistribute the Platform or its underlying technology.

5. Use Restrictions

You agree not to:

  • Modify or Derive: Modify, adapt, translate, or create derivative works based on the Platform's source code or proprietary technology.
  • Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Platform.
  • Redistribute: Copy, distribute, lease, or lend the Platform or any part thereof to third parties.
  • Compete: Use the Platform to build a competing product or service, or to benchmark against competing products.
  • Scrape or Automate: Use automated tools, bots, or scrapers to access the Platform, except through our official APIs.

6. Intellectual Property

The Platform, including its design, code, AI models, templates, and documentation, is owned by Sitenyx ApS and protected by intellectual property laws. Our trademarks, logos, and brand elements may not be used without prior written consent. Templates and AI-generated designs provided through the Platform are licensed, not sold.

7. User Content

You retain ownership of the content you upload to the Platform. By uploading content, you grant Sitenyx a non-exclusive, worldwide license to host, store, and display your content as necessary to provide the Service. You are solely responsible for ensuring your content does not infringe third-party rights, violate applicable laws, or contain harmful or illegal material. We may remove content that violates these Terms.

8. Payment and Billing

Paid features require a valid payment method. Subscription fees are billed in advance on a monthly or annual basis. All prices are displayed in your selected currency and include applicable VAT for EU customers. Refunds are handled in accordance with Danish consumer protection law and our refund policy. We reserve the right to modify pricing with 30 days' notice.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice. We are not liable for temporary unavailability due to circumstances beyond our control, including but not limited to network issues, third-party service outages, or force majeure events.

10. Limitation of Liability

To the maximum extent permitted by law, Sitenyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

11. Indemnification

You agree to indemnify and hold harmless Sitenyx, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. You may delete your account through the dashboard settings. We may terminate or suspend your access for violation of these Terms with or without notice. Upon termination, your license to use the Platform ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes shall be resolved in the courts of Copenhagen, Denmark. For EU consumers, this does not affect your right to bring proceedings in your country of residence under mandatory consumer protection laws.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
